ARVONAR for business membership terms

The German version is legally binding. The English version is provided for convenience and better understanding.

Membership and access

ARVONAR for business is a free membership of indefinite duration for businesses using the programme in their commercial or self-employed professional activity. The provider is the ARVONAR operator identified in the legal notice. Membership starts once the business has accepted these terms, verified its contact email address and had its access activated by ARVONAR. The person acting confirms their authority to create and use the account for the business.

Access routes and requirements for new memberships, including any country restrictions, are communicated before account creation. A personal invitation is valid only for its named recipient and within the stated period. Its expiry does not affect activated membership. Access credentials and sign-in codes must be kept confidential. Company and billing details must be accurate and up to date.

New admission requirements or additional access routes do not change existing memberships.

A valid VAT ID is required for businesses with a billing country in the EU outside Germany. Providing one is optional in Germany. EU VAT IDs provided are checked for validity. Required information and validations must be complete before activation or a new Business purchase. Validation confirms only the validity of the number, not a person’s identity or authority to represent the business. It does not establish a tax exemption.

Termination and security

Members may end membership at any time in their account or through the contact in the legal notice. No membership fees apply.

ARVONAR may ordinarily terminate with 30 calendar days’ notice from receipt of the termination notice. Notice is given in text form, particularly by email to the most recently verified contact address, and states when membership ends.

Both parties retain the right to terminate for good cause without notice. Good cause exists where, taking the circumstances of the individual case and both parties' interests into account, the terminating party cannot reasonably be expected to continue the membership until the ordinary notice period expires. Where good cause arises from a contractual breach, termination generally requires an unsuccessful warning or expiry of a reasonable period to remedy the breach, unless applicable law permits dispensing with that requirement.

ARVONAR may suspend access in the event of specific security risks, inaccurate information, lack of authority or misuse, to the extent necessary and proportionate. Suspension does not automatically terminate membership. Questions and requests to review a suspension or termination can be submitted through the contact in the legal notice.

Termination ends use of the membership for new Business transactions. Suspension or termination does not automatically cancel or change existing purchase contracts with artists. Outstanding payments, deliveries, refunds, defect claims, disputes and the associated invoices and corrections must still be completed or wound down in an orderly manner. Necessary documents and assistance for these transactions may also be requested after termination through the contact stated in the legal notice, subject to verification of entitlement. Statutory retention duties remain unaffected; termination does not automatically delete contractual or invoice evidence.

Publication or continued account use does not change existing memberships. Changes require valid incorporation of the new terms. Recorded acceptances and concluded purchase contracts are not changed retrospectively.

Privacy and language

Details about invitation, account and order data are available in the privacy notice. Membership does not include newsletter enrolment. The German version of these terms is authoritative; this English version is provided for understanding.

Artwork purchasing conditions

Business conditions may include tiered discounts and additional price advantages. There is no entitlement to particular or future price advantages or participation by every artist and artwork. Separate shipping charges are not discounted. The confirmed price is displayed before proceeding to payment. New conditions apply to new purchases; confirmed payment offers remain valid for their displayed period. Completed purchases are not changed retrospectively.

The named artist is the seller. The expressly incorporated purchase rules of these terms and the seller’s confirmed individual details govern the purchase. Membership with ARVONAR and purchase contracts with artists are separate contracts. Membership does not change mandatory statutory buyer rights or create a tax exemption.

A price advantage is shown against the regular artwork price. Where the amount payable is below the seller’s invoice amount, the invoice shows the corresponding adjustment; taxable invoice amounts remain unchanged. Refunds are limited to the amount actually paid by the buyer. Adjusted amounts are not paid out additionally.

Common rules for business purchases

Business purchases must serve a commercial or self-employed professional activity. When placing a binding order, the person acting confirms this purpose and their authority to represent the company in the account. A login and company name alone do not determine legal status. Private consumer purchases use normal shop checkout; an incorrect designation does not exclude mandatory consumer rights.

The common purchase rules apply to single-work purchases, order requests and accepted artist offers when expressly incorporated before contract formation. The seller, artwork, price, shipping charges, delivery details and any expressly confirmed payment terms govern the purchase. A shared selection does not create a combined purchase contract with ARVONAR. New versions do not retrospectively change accepted contracts or stored conditions. Continued account use alone does not constitute acceptance of new purchase terms.

Single-work online checkout

Proceeding to single-work checkout does not create a purchase contract. A binding order is placed in online checkout with acceptance of the linked Business terms; the contract with the displayed artist arises on successful payment. Invoices and authenticity documents are provided afterwards. No additional payment terms are promised. Order requests and project offers follow the confirmation and acceptance rules below, with invoices provided before payment.

Returns, defects and dispatch

Business purchases generally carry no statutory consumer right of withdrawal. Voluntary returns for a change of mind require agreement with the seller, including return shipping costs, original delivery costs and reimbursement. Statutory rights concerning defects, incorrect delivery and other breaches remain unaffected; statutory defect rights are not shortened. The seller handles dispatch and safe packaging as agreed. A dispatch date is not a guaranteed delivery date.

Invoices and electronic delivery

The business agrees with each seller to receive invoices and corrections electronically, including ordinary PDFs where legally permitted. Documents are provided through private account or order access and the designated notifications to the verified contact address. An additional invoice mailbox receives copies only after separate verification of its authority, without account access, payment authority or authority to accept contracts.

The agreement is documented with the accepted version and transaction. New recipients do not automatically receive older documents. Account changes alter neither issued invoices nor their stored recipient assignment. Each seller issues their invoices and corrections. An ordinary PDF invoice is not a structured e-invoice. Structured formats are provided only for supported cases; the seller’s mandatory requirements, transitional rules and exemptions remain applicable.

Business basket and order requests

The following rules cover joint requests from the Business basket. They are expressly incorporated before submission and at artist confirmation. Consumer-only terms do not thereby apply to business orders. ARVONAR coordinates the separate artist orders. Existing commission agreements remain unchanged.

Reservation

The entire basket is reserved exclusively for one hour. Adding a new artwork or actively renewing triggers an availability check for the entire saved selection. If available, all artworks receive a new hour from the confirmed action; remaining time is not added. If an artwork is unavailable, the whole action fails. Priority ends on expiry. The saved selection can be reserved again together if fully available. Other basket actions do not extend the deadline. A reservation creates no purchase contract.

Contract formation and deadlines

By submitting a binding request, the business offers to buy the selection at the displayed prices and shipping charges. Acceptance requires all requested artists to confirm their items and a latest dispatch date compatible with the payment deadline within the response period. The business can cancel in its account until that phase ends. Separate contracts become effective and invoices are created only on complete unchanged confirmation. The response period is 48 hours; unanswered items are then unconfirmed.

Declined items, changed shipping charges or different payment terms initially prevent contract formation. The business must expressly accept the complete updated selection as binding within 24 hours. Without acceptance, or on cancellation, the proposal ends and remaining reservations are released. Accepted price, shipping, payment and address details are retained as evidence.

Response and decision periods count full hours from Monday to Friday in Europe/Berlin time. Saturdays and Sundays are skipped. Actions remain possible at weekends. The one-hour basket period runs continuously. Statutory rules on calculating deadlines, particularly for public holidays, remain unaffected. Payment deadlines follow the expressly agreed terms for each seller order.

Payment and fulfilment

Each artist provides an invoice for their confirmed artworks; multiple artists mean separate invoices and payments. Only the displayed buyer amount including shipping is charged, with no additional ARVONAR contribution charged to the buyer. Online payment is due within 24 Berlin weekday hours after the required invoices become available. Dispatch follows verified payment unless invoice credit was expressly agreed. The confirmed dispatch date means handover to the carrier. Certificates are available only after verified full payment.

For online payment or prepayment, an unpaid seller order may be cancelled after its deadline and safe payment reconciliation; issued invoices receive separate corrections. Partial and unclear payments are reviewed before release. Invoice-credit orders are not automatically cancelled for non-payment; allocated or dispatched originals are not automatically relisted. Paid orders with other artists remain effective. Refunds are allocated to items and, where applicable, shipping; invoices are not overwritten.

Bank transfer and invoice credit

New invoice-credit purchases require separate company approval by ARVONAR. This replaces neither the artist’s credit limit nor their express approval of the order or offer version and does not guarantee payment. ARVONAR may revoke approval for new credit agreements; existing artist commitments and contracts remain unaffected.

These payment terms are available only when shown and expressly confirmed for the artist and order. The available payment routes and the currency are displayed before the binding declaration. Their availability may depend in particular on the supported countries. Requested terms remain subject to artist approval. A counterproposal requires the company's express acceptance.

Bank prepayment

Bank prepayment is due within five days excluding Saturdays and Sundays, calculated as 120 Berlin weekday hours after the complete invoice and payment instructions for the seller order become durably available. Dispatch requires verified allocation of the full buyer amount.

Invoice credit

For invoice credit, only the selling artist grants 14 Berlin calendar days from complete invoice and payment-instruction availability. A technical deadline on Saturday or Sunday moves to Monday at the same Berlin time. Statutory deadline rules, particularly for public holidays, remain unaffected; a conflicting displayed deadline must be reviewed before adverse action. The artist sets a company-specific limit and expressly approves every order or offer version. Dispatch before payment requires this approval, effective buyer acceptance and document availability. The artist bears the outstanding receivable. ARVONAR neither advances the purchase amount nor guarantees payment; existing commission and Stripe agreements remain unchanged.

Payment allocation and later changes

For transfers, use the beneficiary, bank details and reference specified in the payment instructions for the seller order. There is no combined transfer to ARVONAR. Partial payments, excess funds, unallocated payments and late transfers are reconciled separately. An invoice is treated as paid only after verified allocation of the full buyer amount. Unclear funds are not automatically used for other invoices. An internal credit entry alone is neither proof of payment of a particular invoice nor a refund to the customer's bank account.

A later payment extension is recorded and communicated separately; the original invoice is retained. An internal write-off does not confirm payment or generate a certificate. This process does not automatically impose collection or reminder fees. Blocking or disabling new invoice-credit purchases does not change existing contracts. Returns and cancellations are documented; dispatched artworks can be relisted only after their return is confirmed.

Project inquiries and artist offers

Private project lists and the first project inquiry are non-binding and reserve no artworks. Inquiry, discussion, published offers and contractual performance form one case. An order requires express offer acceptance. For newly created artworks, the artist’s offer sets the scope, agreed payments, completion review and delivery; the Business commissioned art terms provided there remain applicable. The following offer and order rules apply to existing artworks. Available offer routes are shown before the binding declaration and may depend on supported countries. The buyer remains the company in the account, not a client named in the project.

Artist confirmation and reservation

The response period is the displayed 48 Berlin weekday hours. Each artist confirms only their artworks, individual conditions, shipping costs and latest dispatch date. This creates exclusive holds for the originals. Before joint readiness, the commitment ends no later than the original response deadline plus 48 weekday hours. Early confirmations can therefore bind for up to 96 weekday hours from the inquiry; the specific maximum end is shown before artist confirmation. General discount and commission agreements remain unchanged.

Offer and acceptance

Once all responses arrive, or at the end of the response period, the confirmed selection is provided as a joint, versioned offer overview. Missing or declined responses imply neither consent nor purchase. Partial offers and changed conditions are identified. Acceptance is possible for at most 48 Berlin weekday hours from durable availability, limited by the maximum commitment already displayed. Processing delays do not extend that limit; acceptance is impossible after expiry. The current version and absolute deadline in the account govern, not email receipt or PDF creation.

Artists cannot unilaterally change published offers. If the business expressly requests revision of an artist’s portion, the previous joint version can no longer be accepted. The revised selection requires new express acceptance; reservation and acceptance periods do not restart. Changed buyer or delivery details require a new inquiry. Old PDFs or links cannot enable acceptance of superseded or expired versions.

Binding acceptance of the current offer overview within its deadline creates separate contracts with the confirmed artists on their payment terms. No second artist confirmation is needed. Reservations pass without interruption into order holds or exclusive allocations for invoice credit. The rules above then apply to invoices, payment deadlines, dispatch permission and invoice corrections. Email or PDF failures do not restart running deadlines.

Extending reservations

A longer offer reservation requires every participating artist’s express approval before expiry. A request alone extends nothing. The reservation ends no later than seven Berlin calendar days after first joint readiness; a new version does not reset that limit. Price validity and reservation expiry are shown separately. After reservation expiry, purchase from the old offer requires a new check of availability and artist approval.
